These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer", "you", or "your") and Nuvio Technologies ("we", "us", or "our"), regarding your access to and use of Nuvio Desk, a cloud-based helpdesk and ticketing SaaS platform (the "Service").
By accessing, registering for, or using the Service, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity.
Nuvio Desk provides subscription‑based software‑as‑a‑service for ticket management, AI‑powered summarization, knowledge bases, dashboards, and related features. The Service is hosted on trusted cloud providers, including AWS, Azure, and Google Cloud, with security controls aligned to ISO and NIST standards. We perform regular security audits and are actively pursuing SOC 2 and ISO certification.
Access to the Service requires a paid subscription or free trial. Pricing and features are described on our website. Subscriptions are billed monthly or annually via Stripe, our third-party payment processor. You authorize recurring charges to your selected payment method.
We do not store your credit card details; all payment processing is handled securely by Stripe in compliance with PCI DSS standards. You are responsible for maintaining accurate billing information.
You agree not to: (a) use the Service for illegal purposes; (b) reverse engineer, decompile, or attempt to derive source code; (c) introduce viruses or malicious code; (d) overload or interfere with the Service; or (e) violate third-party rights. We reserve the right to suspend or terminate access for violations.
You retain ownership of all data you upload or generate ("Customer Data"). We process Customer Data only to provide the Service. We implement reasonable security measures, including those aligned with SOC 2 trust criteria (Security, Availability, Confidentiality, Processing Integrity, Privacy), ISO frameworks, and NIST guidelines. While we strive for high availability, the Service is provided "as is" without warranties of uninterrupted access.
We own all rights to the Service, software, and documentation. You are granted a limited, non-exclusive, non-transferable license during your subscription term.
To the maximum extent permitted by law, our liability shall not exceed the fees paid in the 12 months preceding the claim. We are not liable for indirect, consequential, or punitive damages.
Either party may terminate for material breach (with cure period) or convenience (subject to notice). Upon termination, access ends, and you should export your data.
These Terms are governed by the laws of the State of Illinois, USA, without regard to conflict of laws principles. Disputes shall be resolved in courts located in DuPage County, Illinois.
We may update these Terms. Continued use constitutes acceptance. Material changes will be notified via email or in-app notice.
